Terms of Acceptance

Last updated: October 2026

By booking a service or submitting an inquiry with The Woof Bus, you ("Client") agree to the following terms and conditions. Please read them carefully before using our services.

SERVICES

The Company agrees to provide the following services as selected by the Client at the time of scheduling: transportation of Client's dog(s) to and from designated locations; on-leash or off- leash exercise, including walks, runs, or play sessions in legally designated areas; and any additional services mutually agreed upon in writing prior to the appointment. The Company will make reasonable efforts to provide services at the agreed-upon date, time, and location. Services are provided only for dogs that are current on required vaccinations, in good health, and free of communicable illness or parasites at the time of service.

OFF-LEASH AUTHORIZATION

The Client may authorize the Company to allow Client's dog(s) to be exercised off-leash. This authorization is provided once at intake by signing the designated section of the Terms of Acceptance and remains in effect for all subsequent appointments unless revoked in writing. Off- leash exercise will only be conducted in areas that are legally designated for off-leash dog activity, such as enclosed dog parks or designated open areas. A Company handler will be present and supervising at all times during any off-leash exercise. The Client acknowledges that off-leash exercise involves inherent risks, including the risk of the dog escaping or engaging with other animals, and expressly assumes those risks when providing authorization under this section.

RIGHT TO REFUSE SERVICE

The Company reserves the right, in its sole discretion, to refuse, decline, or discontinue service to any dog that exhibits aggression toward handlers, other dogs, or members of the public; shows signs of illness, injury, or a condition that poses a health risk to other animals or people; has an undisclosed bite history; or whose behavior creates a safety risk that the Company reasonably determines cannot be managed safely. Refusal of service on these grounds shall not constitute a breach of this Agreement, and the Company's liability in such circumstances shall be limited to a refund of any prepaid fees for the refused appointment. The Company accepts only spayed or neutered dogs for services.

DOG FIGHTS AND INJURY DURING GROUP EXERCISE

When the Client's dog is exercised in a group setting or in proximity to other dogs, the risk of a dog fight or inter-dog injury exists. In the event of a fight or injury involving the Client's dog and another animal, the Company and its handlers will take prompt, reasonable steps to separate the animals and provide first-response care. The Company will notify the Client of any fight or injury as soon as practicable. The Client acknowledges and accepts the inherent risk of inter-dog conflict during group exercise and, by executing this Agreement, waives any claim against the Company for injuries sustained by Client's dog in a fight with another dog during services, except to the extent directly and proximately caused by the Company's gross negligence or willful misconduct. The Company shall have no liability for the conduct or actions of other clients' dogs during shared exercise.

RATES AND PAYMENT

The Client agrees to pay the rates listed in the Company's current schedule of services, which may be updated from time to time upon written notice. Payment is due in full at the time of service unless the Company has approved a recurring billing arrangement in writing. All payments are processed through the Gingr platform. Outstanding balances not paid within seven (7) days of the invoice date are subject to a late fee of 1.5% per month on the unpaid balance, as permitted under A.R.S. § 44-1201(A)(2). The Company reserves the right to suspend services for any Client with an outstanding unpaid balance.

COMMUNICATION THROUGH THE GINGR PLATFORM

All service scheduling, confirmations, appointment reminders, service updates, and related communications will be conducted through the Gingr pet business management platform. By entering into this Agreement, the Client consents to receiving communications through the Gingr platform, including automated appointment reminders and service notifications. The Client is responsible for maintaining current contact information in the Gingr system and for monitoring platform communications. The Company is not responsible for missed communications resulting from the Client's failure to maintain current contact information or to monitor Gingr platform notifications.

CANCELLATION, NO-SHOW, AND MAKE-UP WALK POLICY

The Client may cancel or reschedule a scheduled service appointment without charge if notice is provided at least twenty-four (24) hours before the scheduled appointment time through the Gingr platform. Cancellations made fewer than twenty-four (24) hours before the appointment, or no- shows where the Client or dog is not available at the scheduled time and location, will result in a cancellation fee equal to fifty percent (50%) of the scheduled service rate. If the Company cancels a scheduled appointment due to weather, equipment failure, handler illness, or other circumstances outside the Company's reasonable control, the Client shall be entitled to reschedule the missed appointment within seven (7) calendar days of the original appointment date at no additional charge. The Company will provide notice of Company-initiated cancellations through the Gingr platform as soon as practicable. Repeated no-shows or late cancellations may result in a requirement that the Client prepay for future services or, at the Company's sole discretion, termination of the service relationship.

LIABILITY LIMITATION — PET INJURY, DEATH, ESCAPE, AND ACCIDENTS

THE CLIENT ACKNOWLEDGES AND AGREES THAT THE COMPANY'S TOTAL LIABILITY TO THE CLIENT FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE CARE, TRANSPORT, EXERCISE, INJURY, ILLNESS, ESCAPE, LOSS, OR DEATH OF THE CLIENT'S DOG WHILE IN THE COMPANY'S CARE OR DURING TRANSPORT IS LIMITED TO THE LESSER OF (A) THE ACTUAL COST OF VETERINARY CARE INCURRED AS A DIRECT RESULT OF A VERIFIED INCIDENT OCCURRING WHILE THE DOG IS IN THE COMPANY'S CUSTODY, OR (B) THE FAIR MARKET VALUE OF THE DOG AT THE TIME OF THE INCIDENT, NOT TO EXCEED $1,000,000 IN ANY EVENT. This limitation applies to all causes of action, including but not limited to negligence, breach of contract, and strict liability. The Company is not liable for injuries, illness, escape, or death caused by: (a) the Client's failure to disclose known health conditions, behavioral issues, or prior escape history; (b) the dog's own behavioral response to external stimuli such as other animals, vehicles, or loud noises; or (c) pre-existing medical conditions not disclosed by the Client before services were initiated. THE CLIENT UNDERSTANDS THAT PET CARE AND TRANSPORT INVOLVE INHERENT RISKS THAT CANNOT BE ELIMINATED, INCLUDING THE RISK THAT A DOG MAY SUSTAIN INJURY, BECOME ILL, ESCAPE, OR DIE DESPITE THE COMPANY'S REASONABLE CARE. BY SIGNING THIS AGREEMENT, THE CLIENT VOLUNTARILY ASSUMES THOSE RISKS AND AGREES THAT THE LIMITATION OF LIABILITY SET FORTH IN THIS SECTION REPRESENTS A MATERIAL TERM OF THIS AGREEMENT AND ADEQUATE CONSIDERATION FOR THE SERVICES PROVIDED.

THIRD-PARTY AND HANDLER INJURY — CLIENT INDEMNIFICATION

Arizona law imposes strict liability on dog owners for bites and certain other injuries caused by their dogs. See A.R.S. § 11-1025. The Client, as the owner of the dog receiving services under this Agreement, agrees to indemnify, defend, and hold harmless the Company, its members, employees, and independent contractors from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or resulting from any bite, attack, or other injury or damage caused by the Client's dog to any handler, contractor, third party, or third-party property during or in connection with services provided under this Agreement, except to the extent such injury or damage was directly and proximately caused by the Company's gross negligence or willful misconduct. The Client acknowledges that under A.R.S. § 11-1014(E), any dog bite occurring in a public place or while a victim is lawfully on private property must be reported to the county enforcement agent. The Company reserves the right, and in certain circumstances may be legally obligated, to make such a report.

EMERGENCY MEDICAL AUTHORIZATION

In the event that the Client's dog requires emergency veterinary attention while in the Company's care and the Client cannot be reached after at least two (2) attempts by phone or text, the Company and its contractors are authorized to transport the dog to the nearest available licensed veterinary clinic and to authorize emergency stabilization treatment on the Client's behalf. The Client is responsible for all veterinary fees incurred under this emergency authorization. The Company will document all emergency incidents and provide the Client with a written report within twenty-four (24) hours of the incident.

CONTRACTOR INTERACTIONS WITH CLIENTS

The Company may use independent contractors to provide some or all of the services described in this Agreement. All contractors performing services under this Agreement are authorized to interact directly with the Client's dog and with the Client as needed to coordinate service delivery, including receiving and returning the dog, communicating about the dog's behavior or health during the appointment, and administering emergency medical authorization under Section 10 above. Contractors are not employees of the Company and do not have authority to modify the terms of this Agreement, agree to new services outside the scope of the scheduled appointment, or negotiate pricing on the Company's behalf. Any arrangement the Client makes directly with a contractor outside this Agreement shall be solely between the Client and that contractor, and the Company shall bear no liability for services rendered outside this Agreement.

DOG INFORMATION AND WARRANTIES

The Client represents and warrants that: (a) the Client has the legal right and authority to authorize services for the dog identified in this Agreement; (b) the dog is current on all vaccinations required by applicable Arizona law and local ordinance, including but not limited to rabies vaccination as required under A.R.S. § 11-1008 and § 11-1010; (c) the Client has disclosed all known health conditions, behavioral issues, and prior escape or bite incidents; and (d) the dog is not under any quarantine order or known to have been exposed to a communicable disease within the thirty (30) days preceding any scheduled service. The Client represents and warrants that each dog receiving services is spayed or neutered. The Company accepts only spayed or neutered dogs for services and reserves the right to refuse service to any dog that does not meet this requirement.

INTELLECTUAL PROPERTY

The Company retains all rights, title, and interest in any materials, systems, processes, forms, training protocols, or other work product created in connection with the delivery of services under this Agreement. Nothing in this Agreement grants the Client any ownership interest in the Company's intellectual property.

GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement is governed by and construed in accordance with the laws of the State of Arizona. Any dispute arising out of or related to this Agreement that cannot be resolved informally shall first be submitted to non-binding mediation in Maricopa County, Arizona before either party may initiate litigation. The prevailing party in any litigation shall be entitled to recover reasonable attorneys' fees and costs.

ENTIRE AGREEMENT; AMENDMENTS

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous understandings, whether written or oral. This Agreement may be amended only by a written document signed by both parties.
